01 Acceptance of Terms
By accessing or using OrbitWise ("the Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the Platform.
These Terms constitute a binding legal agreement between you and OrbitWise. Your use of the Platform signifies your unconditional acceptance of these Terms.
02 Description of Service
OrbitWise is an AI-powered advertising platform that connects advertisers with publishers to deliver targeted advertisements across digital channels. The Platform provides:
- Campaign creation, management, and multi-network distribution tools
- AI-driven bid optimization and real-time budget routing
- Ad serving and delivery infrastructure across partner networks
- Performance tracking, attribution analytics, and ROI reporting
- Fraud detection, invalid traffic filtering, and quality assurance
- Publisher monetization tools and revenue reporting
03 Account Registration
3.1 Eligibility
To use the Platform, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Provide accurate, complete, and up-to-date registration information
- Comply with all applicable laws and regulations in your jurisdiction
3.2 Account Security
You are solely responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately at security@orbitwise.io of any unauthorised access or suspected breach
- Ensuring your password meets minimum security requirements
04 User Conduct & Prohibited Content
4.1 Prohibited Activities
You agree not to engage in any of the following:
- Use the Platform for any illegal purpose or in violation of any applicable law
- Engage in click fraud, impression fraud, or any form of traffic manipulation
- Attempt to bypass, disable, or circumvent security measures, rate limits, or fraud filters
- Reverse engineer, decompile, or attempt to extract source code from the Platform
- Scrape, harvest, or systematically collect data without our written authorisation
- Interfere with, disrupt, or degrade the Platform's infrastructure or services
- Use automated tools, bots, or scripts to interact with the Platform without authorisation
- Impersonate any person, entity, or organisation
4.2 Prohibited Ad Content
All ad creatives and campaigns must not contain or promote:
- Illegal products, services, or activities
- Misleading, deceptive, or false claims
- Malware, spyware, viruses, or harmful code
- Hate speech, threats, harassment, or discriminatory content
- Explicit adult or pornographic material
- Content that infringes third-party intellectual property rights
- Phishing attempts, scams, or fraudulent offers
- Counterfeit or unauthorised replica goods
- Unregulated financial instruments or unauthorised investment schemes
05 Advertiser Terms
5.1 Campaign Compliance
Advertisers must ensure all campaigns:
- Comply with all ad platform policies applicable to the relevant distribution channels
- Meet OrbitWise content quality and brand safety guidelines
- Link to accurate, functioning landing pages that match the advertised offer
- Do not misrepresent pricing, product features, or availability
5.2 Billing and Payments
- Charges are calculated based on agreed pricing models (CPC, CPM, CPA, or subscription)
- Payments are processed via our authorised payment processors using industry-standard encryption
- Invoices are issued monthly; payment is due within 14 days of invoice date
- Unpaid balances accrue interest at 1.5% per month or the maximum rate permitted by law
- Account suspension may occur after 30 days of non-payment
5.3 Budget Controls
- Daily and total campaign budget caps are enforced at the platform level
- You are responsible for monitoring spend and adjusting budgets as required
- OrbitWise is not liable for overspend resulting from your configuration errors
- Anomaly detection systems may temporarily pause campaigns if unusual spend patterns are detected
06 Publisher Terms
6.1 Content Requirements
Publishers must:
- Hold all rights and authorisations necessary to monetise their digital properties
- Maintain content that is legal, brand-safe, and compliant with applicable regulations
- Disclose ad placements to end users in accordance with applicable advertising standards
- Comply with GDPR, CCPA, TCF 2.2, and other applicable privacy frameworks
- Not artificially inflate impressions, clicks, or other performance metrics
6.2 Revenue Share
- Revenue share percentages are determined by publisher tier and network performance
- Payments are made monthly with a minimum threshold of €100
- Revenue is calculated on verified, non-fraudulent traffic only
- Traffic quality disputes must be raised within 30 days of the relevant billing period
- Fraudulent activity will result in immediate account termination and forfeiture of pending earnings
07 Intellectual Property
7.1 Platform Ownership
OrbitWise and its original content, technology, features, and functionality are and remain the exclusive property of OrbitWise and are protected by international copyright, trademark, patent, and other intellectual property laws.
7.2 Your Content
You retain ownership of your ad creatives, campaign data, and proprietary content. By uploading content to the Platform, you grant OrbitWise a worldwide, non-exclusive, royalty-free licence to:
- Display and deliver your ads across partner networks as directed
- Store, process, and transmit your content for service operation
- Create anonymised derivative analytics for Platform optimisation
This licence terminates when you remove the content or close your account.
08 Data & Privacy
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to data collection and use as described in the Privacy Policy.
OrbitWise implements GDPR-compliant data processing agreements with all sub-processors and partner networks. Campaign data is processed on the basis of contractual necessity and legitimate interest.
09 Disclaimers & Limitation of Liability
9.1 Service Availability
The Platform is provided "as is" and "as available." We do not warrant uninterrupted, error-free, or secure service. We may modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice, and shall not be liable for such actions.
9.2 No Performance Guarantees
OrbitWise makes no representations or warranties regarding:
- Campaign performance, ROAS, or return on investment
- Impression or click delivery volumes
- Conversion rates or revenue outcomes for advertisers or publishers
- Ranking, visibility, or win rates in programmatic auctions
9.3 Limitation of Liability
Our aggregate liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the total fees paid by you to OrbitWise in the twelve (12) months immediately preceding the event giving rise to the claim.
10 Indemnification
You agree to indemnify, defend, and hold harmless OrbitWise, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:
- Your use of or access to the Platform
- Your violation of these Terms or any applicable law
- Your ad content, campaigns, or creative materials
- Your violation of any third-party rights, including intellectual property or privacy rights
- Any fraud, misrepresentation, or wilful misconduct by you or your agents
11 Termination
11.1 Termination by You
You may terminate your account at any time by contacting support@orbitwise.io or using the account deletion feature in your settings. Termination does not entitle you to a refund of prepaid fees.
11.2 Termination by OrbitWise
We may immediately suspend or terminate your account if you:
- Violate any provision of these Terms
- Engage in or are suspected of fraudulent activity
- Fail to pay outstanding invoices after the due date
- Pose an actual or perceived security risk to the Platform or other users
- Receive repeated complaints regarding ad content quality or compliance
11.3 Effect of Termination
- Active campaigns will be paused immediately
- All outstanding balances remain due and payable
- Publisher earnings above the minimum threshold will be paid within 60 days
- Account data may be retained as required by applicable law or legitimate business interest
12 Dispute Resolution
12.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Estonia, without regard to conflict of law principles. Orbitwise OÜ is a private limited company registered in Estonia.
12.2 Good-Faith Resolution
Before initiating formal proceedings, both parties agree to attempt good-faith resolution of disputes by notifying the other party in writing and engaging in mediation for a period of thirty (30) days.
12.3 Arbitration
If good-faith resolution fails, disputes arising from or relating to these Terms shall be resolved by binding arbitration under the applicable arbitration rules of the jurisdiction, except that either party may seek emergency injunctive relief in a court of competent jurisdiction.
12.4 Class Action Waiver
You agree that any dispute must be brought on an individual basis only. You waive any right to bring or participate in a class action, class-wide arbitration, or representative proceeding.
13 Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email to your registered address and via a prominent notice on the Platform, with at least 14 days' advance notice.
Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of those changes. If you do not accept the revised Terms, you must discontinue use of the Platform.
14 Miscellaneous
14.1 Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and OrbitWise with respect to the Platform and supersede all prior agreements.
14.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited to the minimum extent necessary and the remaining provisions shall continue in full force and effect.
14.3 No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any single breach does not constitute a waiver of any subsequent breach.
14.4 Assignment
You may not assign or transfer these Terms, or any rights or obligations hereunder, without OrbitWise's prior written consent. OrbitWise may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
